1 Scope

These terms and conditions (“Terms“) apply to the access to, and the use of https://tzbtc.io/ (“Website”), offered by Papers AG, Dammstrasse 16, 6300 Zug, Switzerland (“Papers“).
To access or use the Website, you (“User“) have to agree to these Terms. If the User does not agree to these Terms, the User shall not use or access the Website or the Services. These Terms form a legally binding agreement (“Agreement“) between Papers and the User.
Unless explicitly stated otherwise, any reference to goods and services is for informational purposes only and does not constitute an offer to buy or sell any goods or services.

2 Website

Papers operates the Website and makes it accessible to the User in its then-current version and according to the Terms.
The Website may enable the User to interact with third parties (e.g. via blockchain) over which Papers has no control and responsibility, notably regarding the security of third-party services, their fees and risks associated with their use.

3 Rights & obligations of Papers

Papers:

  • makes the Website available to the User and uses reasonable care and skill in keeping the Website and Services free from viruses and other malicious software programs;
  • may subcontract third parties for all its obligations under these Terms and is liable to the User for its subcontractors and ensures that subcontractors are bound to appropriate confidentiality and data protection obligations;
  • is permitted and possibly required by law to suspend access to the Website based upon reasonable determination of the occurrence or potential for occurrence of illegal or wrongful activity, fraudulent use or attempted fraudulent activity.

Papers may amend the Terms, including the applicable fees, from time to time at their sole discretion by publishing an updated version of the Terms on the Website. Where possible, Papers will electronically notify you of any material changes to the Terms. User should check the Terms regularly and only use the Website upon acceptance of the changes to the Terms. User’s continued use of the Website following any amendments indicates acceptance of the changes to the Terms.

4 Rights & obligations of the User

The User is personally responsible for providing and maintaining the data and information required to use the Website and the Services without prejudice to the Papers’ obligation to retain data.
The User acknowledges that failure to comply with their duty of cooperation may result in malfunction of the Website and the Services and does not entitle the User to a refund or a termination right. The User is responsible for using the Website and the Service in a private and secure manner.

In addition to other restrictions set forth in these Terms, the User is expressly restricted from:

  • using this Website in any way that is contrary to applicable laws and regulations;
  • using this Website to store or share content that violates the rights of a third party;
  • selling access to the Website or the Services;
  • sublicensing, that is assigning to any third party any right that is explicitly or implicitly retained by Papers;
  • circumventing or attempting to circumvent any security protection of the Website;
  • accessing the Website via any automated system or taking any action that may impose an unreasonable load on Papers’ infrastructure;
  • bypassing the measures that Papers may use to prevent or restrict access to or use of the Website;
  • trying to decompile or reverse engineer the Website or any part of it, or derive the source code;
  • copying, modifying, distributing, reproducing, translating, disassembling or using in any other way any information, text, graphics, images, software obtained from the Website, or any other part of the Services.

5 Term & termination

The Agreement between the parties remains in full force and effect until its termination by either party.

Either party may terminate the Agreement at any time with immediate effect by text notice.

Termination does not affect any rights, obligations, or liabilities of either party that have accrued before or are intended to stay effective beyond termination.

6 Intellectual Property

Each party retains all rights, titles, and interests to its own intellectual property, including all copyrights, inventions, trademarks, designs, domain names, know-how, trade secrets, data and other intangible property rights (“Intellectual Property Rights“). All Intellectual Property Rights in the Website or any part of it remain vested in Papers.

Where applicable and only to the extent necessary, each party grants the other party a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to the Intellectual Property Rights required to fulfil the Agreement.

7 Liability & indemnity

Papers is fully liable to the User for damages resulting from Papers’ gross negligence or wilful misconduct. In all other cases, Papers’ liability under the Agreement is excluded to the maximum extent permitted under applicable law.

Papers will not be held liable for inaccuracy or incompleteness of the Website, or the incompatibility of the Website with any specific objectives that the User is hoping to achieve.

Neither party shall be liable for any failure to perform its obligations under this Agreement (other than payment obligations) caused by circumstances beyond the parties’ reasonable control (force majeure).

8 Warranties & representations

The User acknowledges that the Website are provided “as is” and “as available”, and that Papers makes no warranties or representations of any kind related to the Website or the information and materials contained thereon.

Papers does not guarantee that the Website are error-free and will function without any interruption or disruption. Papers may at its own discretion carry out maintenance or improvements to the Website and its infrastructure, and the User acknowledges that this may result in temporary delays and interruptions from time to time. Where reasonably possible, Papers will inform the User about potential interruptions in advance. Any further warranty is excluded.

Neither the Website, whether operated by the Papers or any contractors of Papers, nor any information or data contained therein constitute financial, investment, tax, legal, accounting, or other advice.

9 Confidentiality & data protection

Papers treats the confidential information of the User with adequate confidentiality standards and processes the User’s personal information only as needed.

Papers collects and processes personal data as described in its Privacy Policy available at https://tzbtc.io/privacy-policy/. Papers protects the collected personal data by means of appropriate technical and organizational measures and in accordance with the data protection legislation applicable in Switzerland and the European Union.

The User authorizes Papers to use, process, and store relevant data for the performance of the Agreement and to use anonymized data to improve its services or for analysis purposes.

10 Miscellaneous

Notices: Notices hereunder shall be given in writing to the last communicated or available address. “In writing” shall, unless explicitly indicated otherwise, include email.
No Assignment: User may not assign any of its rights, obligations or claims under these Terms.
Severability: If any provision of these Terms (in whole or part) is held to be illegal, invalid or otherwise unenforceable, the other provisions will remain mutatis mutandis in full force and effect.

Papers does not assume any responsibility for and does not make any warranties or representations as to any third-party content or websites, including but not limited to the accuracy, subject matter, quality, or timeliness.

Governing Law & Jurisdiction: These Terms, and all claims or causes of action that may be based upon, arise out of or relate to these Terms shall be governed by and construed in accordance with the substantive laws of Switzerland excluding its conflict of law provisions and the United Nations Convention on Contracts for the International Sale of Goods (CISG), and subject to the exclusive jurisdiction of the courts of Zug, Switzerland.
